Is a CVL right for your company?

A Creditors’ Voluntary Liquidation (CVL) may be appropriate when a company can no longer pay its debts and there is no realistic prospect of returning it to a solvent position. It allows the directors and shareholders to place the company into liquidation voluntarily and bring its affairs to an orderly conclusion.

• The company cannot pay HMRC, suppliers or other debts when they fall due

• Creditor pressure is increasing
• The business is continuing to make losses

• There is no realistic prospect of refinancing or recovery

• The directors believe continuing to trade could worsen the position

A CVL is not always the right answer. We will first review the company’s position and explain whether liquidation or another option is more appropriate.

How a Scottish CVL works

1. Confidential review – we look at the company’s financial position and discuss the available options with you.

2. Advice and decision – if a CVL is appropriate, we explain the process, likely costs and what information is needed.

3. Shareholder and creditor procedure – the necessary shareholder and creditor procedures, resolutions and notices are arranged.

4. Liquidator appointed – control of the company passes to the liquidator, who deals with assets, creditors and statutory matters.

5. Company brought to an orderly conclusion – the liquidation progresses through the statutory process and the company is ultimately dissolved.

How much does a company liquidation cost?

The cost of a Creditors’ Voluntary Liquidation depends on the company’s circumstances, but straightforward cases can often be dealt with for a clear fixed fee. Lennox Insolvency aims to offer highly competitive pricing for Scottish company liquidations, with the likely cost explained before you decide to proceed.

• Clear fixed-fee options for straightforward CVLs

• No obligation to proceed after the initial discussion

• We explain what is included in the fee

• We identify any circumstances that could increase the cost

• We explain whether company funds or assets may be available to meet the cost

Our entry-level CVL fee: £3,500 plus VAT and disbursements (usually between £400 to £650)

We will confirm the exact fee after a short review of the company’s position.

What does liquidation mean for you as a director?

Directors often have as many questions about their own position as they do about the company. We will explain what the liquidation could mean for you personally, what issues may need to be addressed and what you should expect from the process.
